1. Acceptance of Terms

By accessing and using the Aelaany Agency website (aelaany.com) and our services, you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

Aelaany Agency provides digital marketing services including social media marketing, Google Ads management, SEO, content marketing, web design & development, brand identity, video production, and e-commerce marketing. Specific service terms are outlined in individual client agreements.

3. Agreements and Contracts

Formal services begin once a written service agreement is signed and the agreed initial payment is received. Each contract clearly defines the scope of work, timeline, deliverables, and pricing on a per-project basis.

4. Payment and Billing

Payments are due according to the schedule outlined in the signed contract. In case of late payment:

  • Services may be temporarily suspended until outstanding payments are settled
  • A late fee of 5% per month may apply to overdue amounts

5. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of Aelaany Agency and protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our explicit written permission.

6. Client Deliverables

Creative work and deliverables produced for clients become the client's property upon full payment of agreed fees, unless otherwise specified in the client agreement. Aelaany retains the right to showcase completed work in its portfolio unless the client requests confidentiality in writing.

7. Confidentiality

We are committed to maintaining the confidentiality of all client information, business data, marketing strategies, and proprietary materials shared with us. This obligation continues throughout the duration of our engagement and after its conclusion.

8. Termination

Either party may terminate the agreement with a written notice of at least 30 days, with payment due for all work completed up to the termination date. Severe breaches of the contract terms may justify immediate termination.

9. Disclaimer of Warranties

Our website and services are provided "as is" without warranties of any kind. While we strive to deliver excellent results, Aelaany Agency does not guarantee specific marketing outcomes such as particular rankings, sales figures, or return on investment, as results depend on multiple external factors.

10. Limitation of Liability

To the fullest extent permitted by law, Aelaany Agency shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website or services.

11. Governing Law

These terms shall be governed by the laws of the Arab Republic of Egypt. Any disputes shall be subject to the exclusive jurisdiction of the courts of Alexandria, Egypt.

13. Prevailing Language

This agreement is published in English and Arabic. In the event of any conflict or inconsistency between the two language versions, the Arabic version shall prevail and govern interpretation.

14. Modifications

Aelaany may update these Terms from time to time. We will notify users of material changes by posting an updated "Last Updated" date at the top of this page and, for substantial changes, via a notice on our website or by email. Continued use of our website or services after the effective date of any update constitutes acceptance.

15. Dispute Resolution

The parties shall first attempt in good faith to resolve any dispute arising from these Terms through direct negotiation for a period of thirty (30) days from the date one party gives written notice to the other. If the dispute remains unresolved, the parties may refer it to mediation administered by the Cairo Regional Centre for International Commercial Arbitration (CRCICA) before submitting the matter to the competent courts of Alexandria, Egypt (which retain ultimate jurisdiction per Section 11, Governing Law).

16. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, pandemics, internet or telecommunications outages, or third-party service-provider failures.

17. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.
